By accessing and using PreValidate ("the Service"), operated by Kuh Trading PTY LTD ("we," "us," or "our"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. About Kuh Trading PTY LTD

3. Description of Service

PreValidate provides AI-powered startup idea validation services. The Service analyzes your business ideas and provides insights, market analysis, and recommendations. All analysis is generated by artificial intelligence and should be used as guidance, not as definitive business advice.

Important: The validation results are provided for informational purposes only and do not constitute professional business, legal, or financial advice. Always consult qualified professionals before making significant business decisions.

4. User Accounts and Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must be at least 18 years old to use this Service
• You agree to provide accurate and complete information during registration
• You agree to notify us immediately at hello@prevalidate.io of any unauthorized use of your account

5. Beta Credits and Subscriptions

• New users receive 3 free beta credits for idea validations
• Paid subscription plans provide additional validations per month
• Credits do not roll over to the next billing period unless otherwise specified
• All payments are processed securely through our payment provider, Paddle
• Prices are subject to change with 30 days' notice to existing subscribers

6. Payment Terms

• Subscription fees are billed in advance on a monthly basis
• All fees are non-refundable except as required by law or as stated in our Refund Policy
• Payment is processed by Paddle, our payment service provider
• You authorize Kuh Trading PTY LTD to charge your chosen payment method for all fees

8. Data Usage and Privacy

• Your business ideas and submissions remain confidential
• We use your data only to provide the Service and improve our AI models
• We do not sell or share your business ideas with third parties

9. Intellectual Property

• Your Ideas: You retain all rights to your business ideas submitted to the Service
• Our Analysis: Kuh Trading PTY LTD retains rights to the analysis methodology and generated reports
• The Service: The Service and its original content, features, and functionality are owned by Kuh Trading PTY LTD and are protected by international copyright, trademark, and other intellectual property laws
• Trademarks: "PreValidate" and associated logos are trademarks of Kuh Trading PTY LTD

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. KUH TRADING PTY LTD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Accuracy or reliability of validation results
• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free service

11. Limitation of Liability

PreValidate and Kuh Trading PTY LTD provide analysis and insights for informational purposes only. We do not guarantee the accuracy, completeness, or usefulness of any information provided.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUH TRADING PTY LTD SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Business decisions made based on our analysis
• Any damages exceeding the amount you paid to us in the past 12 months

You acknowledge that business decisions based on our analysis are made at your own risk.

12. Indemnification

You agree to indemnify and hold harmless Kuh Trading PTY LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

13. Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service or servers
• Use the Service to validate ideas that involve illegal activities
• Resell or redistribute the Service without permission
• Use automated systems to access the Service without authorization

14. Termination

• We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms
• You may cancel your subscription at any time through your account settings
• Upon termination, your right to use the Service will immediately cease
• Sections that by their nature should survive termination will remain in effect

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of South Africa.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via:

• Email notification to your registered email address
• Prominent notice on the Service

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Kuh Trading PTY LTD regarding the Service.
